About the Job
Securities lawyer with experience preparing and advising clients regarding '34 Act filings for publicly held companies. This person will participate in drafting and reviewing MD&A; prepare materials for presentation to the board of directors; advise on relevant state law and exchange-related issues; conduct various research projects; assist with subsidiary management; and assist with various corporate governance matters.
Qualified candidates will have a minimum of 2 – 9 year’s experience practicing corporate/securities law with a JD degree. Excellent written and oral communications skills along with detail orientation and the ability to work well in a cross-functional team environment required.
Experience with public debt offerings and other forms of financing; exposure to executive and/or equity compensation
